一、核心必备材料（Core Required Documents）
1、公司登记（备案）申请书：原件1份，按要求填写签字盖章
Application for Company Registration (Filing): 1 original copy, filled in, signed and sealed as required
2、公司章程：全体股东签署，明确经营范围、注册资本、出资期限等核心条款
Company Articles of Association: Signed by all shareholders, specifying core clauses such as business scope, registered capital and capital contribution period
3、投资者主体资格文件：外国企业提供注册证书等，外国自然人提供护照；所在国公证+中国使领馆认证（公约缔约国按附加证明书办理）
Investor's subject qualification documents: Foreign enterprises provide registration certificate, etc.; foreign natural persons provide passport; notarized by the country of residence + authenticated by Chinese embassies and consulates (Contracting States of the Convention handle it in accordance with the Apostille)
4、法定代表人、董事、监事、高管任职文件及身份证明：含委派书/任职决议，身份证明复印件（护照需翻译公证）
Appointment documents and identity certificates of legal representative, directors, supervisors and senior management: Including appointment letter/employment resolution and copy of identity certificate (passport needs translation and notarization)
5、住所使用证明：商用房产证复印件+备案租赁合同，地址与实际经营地址一致
Domicile use certificate: Copy of commercial house property certificate + filed lease contract, with the address consistent with the actual business address
6、外商投资信息报告表：在线填报提交，无纸质文件
Foreign Investment Information Report Form: Filled in and submitted online, no paper documents required
7、法律文件送达授权委托书：指定境内接收人及地址
Power of Attorney for Service of Legal Documents: Designate the domestic recipient and address

二、资金与资信证明(Capital and Credit Certification)
1、银行资信证明：境外银行出具，证明投资者资金实力，近3个月内有效
Bank credit certificate: Issued by an overseas bank, proving the investor's capital strength, valid within the last 3 months
2、出资承诺书：明确出资方式、金额、期限（认缴制，章程约定即可）
Capital Contribution Commitment Letter: Specify the capital contribution method, amount and period (subscription system, only need to be stipulated in the articles of association)

三、特殊情形补充材料(Supplementary documents for special cases)
1、前置审批文件：金融、医疗、教育等特殊行业需提供行业主管部门批准文件/许可证
Pre-approval documents: Special industries such as finance, medical care and education need to provide approval documents/permits from the competent industry department
2、名称预先核准通知书：国家市场监管总局企业名称申报系统获取
Advance Approval Notice for Enterprise Name: Obtained from the Enterprise Name Declaration System of the State Administration for Market Regulation
3、授权委托书：委托代办时提交，附代理人身份证明

四、翻译要求(Translation Requirements)
所有外文文件附中文翻译件，翻译件注明“与原件一致”并签字盖章
